Galyxy Terms of Service

Welcome to Galyxy. These Terms of Service ("Terms") constitute a legally binding agreement between you and Galyxy ("we," "us," or "our") governing your access to and use of the Galyxy website, web applications, APIs, services, and all related functionality (collectively, the "Service").
By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. About Galyxy
Galyxy is a cloud storage synchronization and file management platform that enables users to:
- Connect and authenticate with supported third-party cloud storage providers (such as Google Drive, Dropbox, Microsoft OneDrive, Mega, and others);
- Synchronize files between local storage environments and connected cloud storage accounts;
- Transfer, manage, organize, and access files across multiple storage locations through a unified interface;
- Utilize additional features such as file browsing, uploading, downloading, and cross-provider transfers.
Galyxy acts as an intermediary service that facilitates interaction with your connected storage providers. We do not claim ownership of your files, cloud storage accounts, or any user-generated content processed through the Service.
2. Eligibility and Account Requirements
To use the Service, you must meet the following requirements:
- You must be at least 13 years of age, or the minimum age required by applicable law in your jurisdiction;
- If you are under the age of majority in your jurisdiction, you represent and warrant that your parent or legal guardian has reviewed and agreed to these Terms on your behalf;
- You have the legal capacity to enter into a binding contract;
- You are not prohibited from using the Service under any applicable laws or regulations;
- All information you provide during account registration and use of the Service is accurate, current, and complete.
Galyxy reserves the right to refuse service, suspend accounts, or terminate access to anyone at our sole discretion, particularly in cases of suspected fraud, abuse, or violation of these Terms.
3. User Accounts and Security
To access certain features of the Service, you may be required to create an account using one of our supported authentication methods (such as Google OAuth or GitHub OAuth).
You agree to:
- Maintain the confidentiality and security of your account credentials and authentication tokens;
- Accept full responsibility for all activities that occur under your account, whether authorized by you or not;
- Immediately notify Galyxy of any unauthorized access or security breach affecting your account;
- Ensure that your account information remains accurate and up to date;
- Not share your account credentials with any third party;
- Not create multiple accounts for the purpose of circumventing restrictions or limitations.
Galyxy is not liable for any loss or damage arising from your failure to maintain account security or from unauthorized use of your account.
4. Connected Cloud Storage Providers
The Service allows you to connect accounts from third-party cloud storage providers. When you connect a provider:
- You authorize Galyxy to access your files, file metadata, folder structures, and other necessary information from the connected provider solely for the purpose of providing the Service;
- You acknowledge that your use of each third-party provider remains subject to that provider's own terms of service, privacy policies, and acceptable use policies;
- You understand that Galyxy has no control over third-party provider services, outages, rate limits, API changes, policy modifications, or account suspensions;
- You grant Galyxy permission to make API requests on your behalf to perform synchronization, file transfer, and management operations;
- You may revoke Galyxy's access to any connected provider at any time through the Service's connection management interface or directly through the provider's security settings.
Galyxy is not responsible for any issues, data loss, service interruptions, or limitations imposed by third-party providers. We recommend maintaining independent backups of all important files.
5. User Content, Files, and Ownership
You retain full ownership of all files, documents, media, and other content ("User Content") that you upload, transfer, synchronize, or otherwise process through the Service.
By using the Service, you grant Galyxy a limited, non-exclusive, worldwide, royalty-free license to:
- Access, process, cache, encrypt, transfer, and temporarily store User Content as necessary to provide the Service;
- Display User Content within your account interface;
- Generate file previews, thumbnails, and metadata;
- Perform technical operations such as format conversion or compression when required for functionality.
This license exists solely to enable the Service to function and terminates when you delete files from the Service or close your account, except for cached data that may persist temporarily for technical reasons.
You represent and warrant that:
- You own or have the necessary rights, licenses, and permissions to all User Content you upload or process through the Service;
- Your User Content does not infringe upon any third party's intellectual property rights, privacy rights, or other legal rights;
- You are solely responsible for backing up your files and maintaining copies independent of the Service.
6. Acceptable Use Policy
You agree not to use the Service for any unlawful, harmful, or abusive purposes. Prohibited activities include, but are not limited to:
- Uploading, storing, or distributing illegal content, including but not limited to child exploitation material, content that facilitates illegal activities, or content that violates applicable laws;
- Uploading or distributing malware, ransomware, viruses, spyware, trojans, or any malicious code;
- Attempting to gain unauthorized access to the Service, other users' accounts, connected providers, or Galyxy infrastructure;
- Reverse engineering, decompiling, or attempting to extract source code from the Service;
- Abusing APIs, automation systems, or rate limits through excessive requests, scraping, or distributed attacks;
- Infringing upon copyrights, trademarks, patents, or other intellectual property rights of third parties;
- Engaging in phishing, social engineering, identity theft, or impersonation;
- Using the Service to harass, threaten, stalk, or harm others;
- Violating the terms of service of any connected third-party provider;
- Reselling, sublicensing, or redistributing the Service without authorization;
- Using the Service for cryptocurrency mining, proxy services, or other unauthorized commercial purposes.
Violation of this Acceptable Use Policy may result in immediate account suspension or termination, removal of content, reporting to law enforcement, and potential legal action.
7. File Storage, Processing, and Data Handling
When you use the Service:
- Files may be temporarily cached, processed, transferred, or stored on Galyxy infrastructure to enable synchronization and transfer operations;
- We implement industry-standard security measures to protect data in transit and at rest;
- File transfers occur over encrypted connections (HTTPS/TLS);
- Temporary file storage is used only as necessary to facilitate requested operations and is deleted after completion;
- We do not access, view, or analyze the content of your files except as required to provide the Service or as required by law.
8. Beta Features and Experimental Services
Certain features of the Service may be labeled as "Beta," "Experimental," "Preview," or similar designations. These features:
- Are provided on an "as-is" basis for testing and evaluation purposes;
- May be unstable, incomplete, or subject to frequent changes;
- May be discontinued at any time without notice;
- Are not recommended for use with critical or irreplaceable data;
- May have reduced or no support availability.
By using beta features, you acknowledge and accept the increased risks associated with experimental functionality.
9. Privacy and Data Protection
Your use of the Service is governed by the Galyxy Privacy Policy, which describes how we collect, use, store, and protect your personal information and file metadata.
By using the Service, you consent to our collection and use of information as described in the Privacy Policy. We recommend reviewing the Privacy Policy regularly for updates.
10. Intellectual Property Rights
The Service, including but not limited to the website, web applications, user interfaces, software code, APIs, design elements, logos, trademarks, and all related intellectual property, is owned by or licensed to Galyxy and is protected under copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose in accordance with these Terms. This license does not grant you any rights to:
- Reproduce, modify, distribute, or create derivative works based on the Service;
- Use Galyxy trademarks, branding, or logos without prior written permission;
- Remove, obscure, or alter any copyright, trademark, or proprietary notices;
- Reverse engineer or attempt to extract source code from the Service.
11. User Feedback and Suggestions
We welcome and appreciate user feedback, suggestions, ideas, and feature requests ("Feedback"). By submitting Feedback:
- You grant Galyxy a perpetual, irrevocable, worldwide, royalty-free license to use, implement, modify, and incorporate your Feedback into the Service without restriction or compensation;
- You waive any claims to ownership or attribution related to implemented Feedback;
- You represent that your Feedback does not infringe upon any third-party rights.
12. Service Availability and Modifications
Galyxy reserves the right to:
- Modify, update, enhance, or discontinue any features, functionality, or aspects of the Service at any time with or without notice;
- Perform scheduled or emergency maintenance that may temporarily interrupt access;
- Implement usage limits, rate limits, storage quotas, or other restrictions;
- Change pricing, billing structures, or introduce paid subscription tiers;
- Discontinue support for specific third-party providers or features.
We will make reasonable efforts to provide advance notice of significant changes that materially impact functionality, but such notice is not guaranteed.
13. Donations and Paid Features
Galyxy may offer paid subscriptions, premium features, or accept voluntary donations from users.
- All donations are voluntary and non-refundable unless otherwise required by law;
- Paid features or subscriptions are subject to the specific billing terms and pricing disclosed at the time of purchase;
- Donation rewards, tier benefits, and perks are provided at Galyxy's discretion and may be subject to approval, modification, or discontinuation;
- Billing disputes should be directed to [email protected] within 30 days of the transaction;
- Subscription renewals may occur automatically unless canceled before the renewal date.

14. Account Suspension and Termination
Galyxy may suspend, limit, or terminate your access to the Service at any time, with or without cause, with or without notice, for reasons including but not limited to:
- Violation of these Terms or the Acceptable Use Policy;
- Suspected fraudulent, abusive, or illegal activity;
- Failure to comply with applicable laws or regulations;
- Protection of other users, third-party providers, or Galyxy infrastructure;
- Extended account inactivity;
- Requests from law enforcement or legal authorities.
You may terminate your account at any time by contacting [email protected] or using the account deletion feature within the Service. Upon termination:
- Your access to the Service will be immediately revoked;
- Cached or temporarily stored files may be deleted from Galyxy infrastructure;
- Connected provider authorizations will be revoked;
- You remain responsible for any obligations incurred prior to termination.
Termination does not affect files stored on your connected third-party providers, which remain accessible through the providers' own interfaces.
15. Disclaimers and Limitations
To the maximum extent permitted by applicable law, Galyxy disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Warranties that the Service will be uninterrupted, secure, error-free, or free from harmful components;
- Warranties regarding the accuracy, reliability, or completeness of any information obtained through the Service;
- Warranties that files will be successfully transferred, synchronized, or preserved without loss or corruption;
- Warranties regarding the availability or actions of third-party storage providers.
You acknowledge that use of the Service is at your own risk and that you are solely responsible for maintaining adequate backups of your files.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GALYXY, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of data, files, or content;
- Loss of profits, revenue, or business opportunities;
- Loss of use or service interruption;
- Damage to reputation or goodwill;
- Costs of procurement of substitute services;
- Any damages arising from third-party provider actions or limitations.
This limitation applies regardless of the legal theory upon which the claim is based (contract, tort, negligence, strict liability, or otherwise) and even if Galyxy has been advised of the possibility of such damages.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, Galyxy's liability shall be limited to the maximum extent permitted by law.
17. Indemnification
You agree to indemnify, defend, and hold harmless Galyxy, its officers, directors, employees, contractors, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service;
- Your violation of these Terms or any applicable law or regulation;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;
- Any User Content you upload, store, or process through the Service;
- Your negligence or willful misconduct.
This indemnification obligation survives termination of these Terms and your use of the Service.
18. Third-Party Services and Links
The Service may contain links to or integrations with third-party websites, services, or resources that are not owned or controlled by Galyxy. We do not endorse or assume responsibility for:
- The content, privacy policies, or practices of third-party services;
- Any damages or losses caused by your use of third-party services;
- Changes, discontinuations, or issues with third-party provider APIs or services.
Your interactions with third-party services are governed solely by the terms and policies of those third parties.
19. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in the state or federal courts located in Oakland County, Michigan, and you consent to the personal jurisdiction of such courts.
You waive any right to participate in class action lawsuits or class-wide arbitration against Galyxy.
20. Changes to These Terms
Galyxy reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make changes:
- The "Last Updated" date at the top of this document will be revised;
- We may notify you via email, in-app notification, or by posting a notice on the Service;
- Material changes may be announced with more prominent notifications.
Your continued use of the Service after changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.
We recommend reviewing these Terms periodically to stay informed of any updates.
21. Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Galyxy's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
22. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or policies published on the Service, constitute the entire agreement between you and Galyxy regarding the use of the Service and supersede all prior agreements, communications, and understandings, whether written or oral.
23. Assignment
You may not assign or transfer these Terms or your account to any third party without Galyxy's prior written consent. Galyxy may assign these Terms or any rights hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
24. Force Majeure
Galyxy shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor strikes, government actions, internet outages, or failures of third-party infrastructure.
